Learn how to identify and navigate the various ABAC risks associated with Transfers of Value (ToVs) to distributors by examining FCPA enforcement cases.

A pattern emerges whereby distributors create slush funds and/or off-book accounts, then to be used to finance bribes to secure or maintain business (such as winning contracts, influencing procurement processes, circumventing importation rules, accessing non-public bid tender information, influencing legal decisions, obtaining regulatory exemptions, avoiding contract termination, and more).

  1. Recognize Risk Patterns: Discover how Third parties may exploit financial practices, such as inflated invoices and excessive commissions, to create slush funds. Understanding these patterns is essential for recognizing potential red flags in your own operations.
  2. Enhance Compliance and Control Measures: Being aware of the various types of ToVs to distributors is essential for creating adequate controls and developing strong monitoring practices, to prevent and detect misconduct.

Natalia Cojocaru is an experienced Ethics and Compliance leader with a solid foundation in compliance auditing.  Over the past 10 years in the pharmaceutical industry, she has worked extensively with International Markets where distributors are commonly used, serving both as a Business Ethics Auditor and as the Senior Director of E&C in International Operations at Novo Nordisk.
